Broker's Commission Policy

Westmass Area Development Corporation ("Westmass") recognizes the importance of real estate professionals in achieving its goal of attracting quality jobs to our region in Western Massachusetts. Westmass acknowledges that in fairness to the entire brokerage community it has chosen not to engage in the practice of exclusive listing of its resources. Instead, Westmass will encourage participation by all of the professional brokerage community.

This brokerage policy is designed to protect the broker's interest, and simultaneously acknowledge the substantial investment that Westmass makes in attracting businesses to and retaining businesses in the region and the long term relationships that Westmass has with existing businesses in Hampden, Hampshire and Franklin counties.

Westmass requires the early identification of a broker in relation to a specific prospect/client. Specifically, in order for Westmass to recognize a broker in relation to a particular prospect/client, Westmass requires a written designation of broker by a prospect/client, and this written designation must be acknowledged and signed by the prospect/client (a "Properly Identified Broker"). This identification is required to avoid multiple claims and to protect the individual broker's interest. All such identification shall be kept strictly confidential.

Land Sales:
Westmass will pay to a Properly Identified Broker a 10% commission, at closing, for any land sale involving a conveyance to a prospect/client not currently engaged in business in Hampden, Hampshire or Franklin counties which results in attracting a new business or company to our region.

In the event that the prospect/client is currently engaged in business in Hampden, Hampshire or Franklin counties, either directly or indirectly through an affiliated or related company, Westmass will pay to a Properly Identified Broker a commission equal to 6.5% of the land sale purchase price at the time of closing.

Total commissions paid by Westmass on individual or multiple parcels sold to the same prospect/client or any affiliated or related company shall not exceed $100,000 in the aggregate.

Building Sales at the Ludlow Mills:
Westmass will pay to a Properly Identified Broker a 5% commission, at closing, for any building sale involving a conveyance to a prospect/client.

Total commissions paid by Westmass on individual or multiple buildings sold to the same prospect/client or any affiliated or related company shall not exceed $100,000 in the aggregate.

Building Leasing at the Ludlow Mills:
Westmass will pay to a Properly Identified Broker a 5% commission on the aggregate base rent payable over the lease term on the Rent Commencement Date of the Lease, for any building lease of one year or more. Renewals of one year or more will be paid the same commission amount on the Rent Commencement Date of the Renewal Term. No commission shall be payable with respect to any additional rent amounts payable pursuant to any such lease, including without limitation additional rent payments on account of operating expenses, real estate taxes and/or insurance.

Total commissions paid by Westmass on individual or multiple parcels/buildings leased to the same prospect/client or any affiliated or related company shall not exceed $100,000.


This policy will remain in effect until December 31, 2015. After that date, please contact Westmass directly to verify the current policy.
